DIGITAL MUSIC DISTRIBUTION AGREEMENT

This Digital Music Distribution Agreement (“Agreement”) is made between Klaslead Productions Private Limited, a company incorporated under the Companies Act, 2013 and operating the digital music distribution service under the brand DistriBeats (“DistriBeats”, “Company”, “we”, “us” or “our”), and the individual or legal entity accepting these terms through the DistriBeats Console (“Artist”, “Label”, “you” or “your”).

This Agreement is intended to be interpreted and enforced in accordance with applicable laws of India, with the dispute-resolution and Kolkata jurisdiction provisions stated below. Electronic acceptance through the DistriBeats Console forms part of the parties' contractual record to the extent permitted by applicable law.

Effective Date: the date of electronic acceptance, subscription purchase, account activation, or first release submission, whichever occurs first.

1. Definitions and interpretation

“Content” means sound recordings, masters, compositions, lyrics, artwork, videos, metadata, credits, identifiers, promotional assets and other materials supplied by you.
“Stores” or “Platforms” means digital music services, streaming services, download stores, social platforms, video platforms, content-recognition services and other third-party services to which DistriBeats may deliver Content.
“Royalty” means the amount reported or paid by a Store in relation to exploitation of your Content, after applicable Store deductions, taxes, withholding, chargebacks, fraud adjustments and other amounts actually deducted by the relevant Store or payment provider.
“Term” means a period of thirty-six (36) months from the date you accept this Agreement, for so long as your DistriBeats account/subscription remains active, together with any limited post-termination rights or obligations expressly stated in this Agreement.
This Agreement remains valid for thirty-six (36) months. If the account is not renewed within that period, the Content will be removed from Stores and this Agreement will terminate. On renewal, this Agreement renews automatically for a further thirty-six (36) month Term on the terms then in force.

2. Grant of distribution rights

You grant DistriBeats a limited, non-exclusive, worldwide licence during the Term to deliver, host, reproduce, encode, transcode, technically modify, distribute, communicate, stream, make available and sell your Content through Stores and delivery partners selected by DistriBeats.
You authorise technical processing including encoding, transcoding, normalization, resizing, compression, formatting, fingerprinting and packaging as reasonably required by Stores or delivery partners. Such processing does not transfer copyright ownership.
You authorise use of your legal name where operationally necessary, artist/label name, artwork, release title, credits, metadata, approved biography and related assets for delivery, store pages, playlist pitching, editorial consideration, catalogue administration, analytics and reasonable DistriBeats promotion.
You retain ownership of your master recordings, compositions, publishing interests and other intellectual-property rights. Nothing in this Agreement assigns or transfers copyright or ownership to DistriBeats.
DistriBeats may use aggregators, technical vendors, payment processors, rights-management services and other subcontractors reasonably required to perform the service.

3. Artist / label warranties and undertakings

You own or fully control every recording, composition, sample, vocal, performance, artwork, video, logo and other asset submitted, or have obtained all rights necessary to grant the licence in this Agreement.
Your Content and metadata do not infringe copyright, trademark, publicity, privacy, moral, contractual or other third-party rights.
No AI-generated voice, cloned voice, digital likeness or synthetic representation of a real person is used without written consent and all other permissions required by law.
All featured artists, producers, songwriters, composers, remixers and contributors are correctly credited and all private commercial arrangements, splits and consents are settled before submission.
Cover versions, remixes, karaoke/instrumental adaptations and sample-based works are submitted only where you hold the required mechanical, master-use, publishing, sample, synchronization or other licences and can provide documentary evidence on request.
A recording is not live, pending or actively distributed through another distributor, aggregator or label when submitted to DistriBeats. For catalogue migration, you must request takedown from the previous distributor and wait for full store removal before submitting the recording to DistriBeats.
AI-generated Content must be declared accurately and submitted only under AI Pro or DistriBeats PayOnce AI Made. AI-generated Content is prohibited under every other plan, and demonstrably low-effort or deceptive Content is prohibited under every plan.
You are solely responsible for contributor splits, publishing shares, producer agreements, label approvals, sample clearances and other private rights arrangements. DistriBeats is not a party to those arrangements.

4. Quality control, delivery and store acceptance

You must provide technically compliant audio, artwork, video, identifiers, metadata, credits and release information.
DistriBeats may conduct QC and may correct obvious formatting issues, request clarification, return a submission, delay delivery or reject Content that fails technical, rights, metadata, policy or Store requirements.
Indicative approval targets are: PayOnce and annual subscription releases receive AI priority approval in about 2 minutes where all automated checks pass, or manual approval within 24 hours; free Collab releases receive no priority approval and manual approval can take up to 3 business days.
Indicative Store go-live targets for compliant releases are: PayOnce within 3 business days, annual subscriptions within 9 business days and free Collab within 14 business days. These are service targets, not guarantees, because each Store controls final acceptance and publishing.
Stores may independently reject, delay, restrict, hide, geo-limit, modify or remove Content. DistriBeats does not guarantee acceptance, playlist placement, editorial consideration, algorithmic exposure, badging, video availability or a specific go-live date.
Store style guides, technical specifications and platform policies may impose requirements additional to those stated in this Agreement.

5. Royalties and payouts

DistriBeats Free / Collab Artists: retain 60% of cleared royalties; DistriBeats retains a 40% distribution/service share.
DistriBeats PayOnce (Human Made and AI Made): retain 90% of cleared royalties; DistriBeats retains a 10% distribution/service share. Royalty reports for PayOnce accounts are fetched automatically from our delivery partner and reconciled into the Console.
Paid Artists / Labels: retain 100% of cleared royalties; no DistriBeats distribution commission is deducted from the artist/label royalty share, subject to Store deductions, taxes, chargebacks, fraud adjustments and other amounts imposed by third parties.
Store royalty reports may arrive with a lag of up to 180 days. Amounts are reflected in the Console only after DistriBeats receives, processes and reconciles the applicable Store report.
Withdrawals are available only after the cleared balance exceeds USD 50 and applicable verification requirements are satisfied. Approved withdrawals are normally processed within 7 working days to the verified payout method.
Chargebacks, fraud deductions, Store clawbacks, withholding taxes, payment reversals and other legitimate third-party adjustments may be deducted from or set off against the account balance.
DistriBeats may pause payment where identity verification, tax information, fraud review, rights investigation, Store investigation or a dispute is pending.

6. Subscription lapse, non-renewal and royalty freeze

If a paid subscription is not renewed on time, the Content already delivered to Stores may remain live and available to listeners, subject to Store policies and DistriBeats' technical ability to maintain delivery.
During the period of subscription lapse, royalty balances and newly received Store reports shall be frozen for withdrawal and Console display. The account holder shall not be entitled to withdraw such royalties during the lapsed period, and the relevant royalty information will not be updated or displayed in the Console during that period.
A subscription lapse does not constitute a waiver or cancellation of DistriBeats' right to receive and reconcile Store reports. Upon valid renewal/reactivation, DistriBeats may resume royalty reporting, reconciliation and withdrawal functionality subject to applicable Store reports, verification, account status and any outstanding dispute or compliance hold.
If the account remains inactive for an extended period, DistriBeats may suspend or remove deliveries in accordance with the Termination provisions and applicable Store requirements. Any such removal is subject to Store processing timelines.
For avoidance of doubt, a lapsed subscription does not automatically transfer ownership of any master or composition to DistriBeats, and it does not itself terminate the Content licence except as otherwise provided by this Agreement.

7. Account balance holds and conflicts

Where there is a genuine or reasonably suspected conflict concerning ownership, copyright, contributor rights, royalty entitlement, fraud, artificial streaming, duplicate distribution, chargeback, Store clawback, legal notice or other material account issue, DistriBeats may place the affected account balance, or the disputed portion thereof, on hold.
Amounts under hold cannot be withdrawn, transferred or otherwise paid out while the relevant investigation, dispute, Store review or legal process remains unresolved.
DistriBeats may request licences, agreements, identity documents, contributor confirmations, takedown evidence, invoices, payment records or other reasonable documentation to resolve a conflict.
Where a third party makes a credible rights claim or a Store requires a hold, DistriBeats may continue the hold until the matter is resolved by evidence, written settlement, Store decision, competent authority or final adjudication, as applicable.
A balance hold does not constitute an admission of liability by DistriBeats and does not determine ownership between disputing third parties.

8. Fair use and account rules

“Unlimited releases” is subject to a fair-use limit of 24 releases per artist per year. DistriBeats may require additional review or a different plan where usage materially exceeds ordinary distribution patterns.
One artist name is permitted per account under Collab Artist and Artist plans. The artist name provided at sign-up cannot be changed later under those plans.
You must not purchase or generate artificial streams, listeners, playlist placements, clicks or engagement through bots, click farms, automated systems or paid-stream manipulation services.
Streaming manipulation may result in immediate removal, royalty forfeiture or withholding, account suspension and permanent closure, without prejudice to other remedies available under law.

9. Duplicate distribution and catalogue migration

A recording may be actively delivered through only one distributor/aggregator at a time unless a Store expressly permits otherwise. Duplicate delivery may cause ISRC, UPC, metadata and ownership conflicts.
DistriBeats may unsubmit, suspend or remove duplicate Content without notice where reasonably necessary to prevent Store conflicts. Fees already paid are not refundable solely because of duplicate submission.
Catalogue migration is permitted. Request takedown from the previous distributor, wait for full Store removal, then submit using the original release date and existing ISRC/UPC where available and appropriate.
Repeated or deliberate duplicate submissions may constitute a material breach and may lead to permanent account closure and withholding of unpaid amounts to the extent permitted by applicable law.

10. Content standards and prohibited content

No hate speech, unlawful incitement, sexual content involving minors, exploitative content or material unlawful in India or in a delivery territory.
AI-generated tracks are accepted only under AI Pro or DistriBeats PayOnce AI Made. Low-effort tracks, noise/silence uploads, mass-produced sound-alike catalogues, bulk catalogue spam and content intended to exploit Store systems remain prohibited.
No misleading metadata, keyword stuffing, fabricated credits, impersonation of another artist/label or misleading presentation of authorship or ownership.
Cover versions require applicable mechanical licences; remixes and samples require written clearance sufficient for intended distribution.
DistriBeats may apply stricter Store-specific content rules where necessary for delivery.

11. Fees, taxes, refunds and add-ons

Customers in India are billed in INR. Customers outside India are billed in USD using an independently authored price list; no exchange-rate conversion is used at checkout.
Pro Artist, AI Pro and Label are annual subscriptions. DistriBeats will ordinarily seek an autopay mandate first; where mandate setup fails or is unavailable, a manual one-time payment may be offered for the applicable annual term. International card payments and all autopay mandates are processed through Razorpay; eligible India one-time checkouts may offer Razorpay and Zoho Payments.
The Pro Artist trial in India costs INR 9 for one month and is limited to one track, after which it renews at INR 999/year unless cancelled. Outside India, the Pro Artist trial is free for 7 days and limited to one track, after which it renews at USD 12.99/year unless cancelled.
Artist EPK includes a 90-day trial, then costs INR 5 for the first paid month and INR 25/month in India, or USD 3/year outside India. Standalone DistriLinks includes a 30-day trial, then costs INR 20/month in India or USD 3/year outside India, with up to 24 links per year.
An autopay mandate may be authorised with a per-debit ceiling up to 150% of the current recurring charge. This ceiling is headroom only and does not authorise DistriBeats to debit more than the price due for the applicable billing cycle, except for a separately approved charge or a price change made under this Agreement and applicable law.
The account holder may cancel a recurring service through the Console. Cancellation cancels the associated autopay mandate and prevents future renewals; access continues through the end of any paid period. Cancellation does not retrospectively refund a completed charge.
Fees already paid are non-refundable after service commencement or delivery, except where a refund is required by applicable law.
Standard takedown fee: INR 2,000 per song for Collab and annual subscription releases. No takedown fee applies to PayOnce releases. Bank charges, FX spreads and payment-gateway fees associated with payouts are borne by the Artist/Label.
Dolby Atmos: INR 199 per track, one-time, intended for Apple Music, Amazon Music Unlimited and Tidal, subject to Store acceptance.
Music Video: INR 299 per video, one-time, intended for Spotify, subject to Store eligibility and acceptance.
Add-ons are identical across Collab Artist, Pro Artist, Rising Label and Macro Label plans, must be attached to a release, and are billed at submission. The release remains in “Awaiting Payment” until the invoice is paid and QC may begin only thereafter.
File limits: Dolby Atmos ADM master up to 1 GB per track; music video up to 2 GB per file. Failed QC, rights or Store technical acceptance does not create an automatic refund.
Once an add-on asset has been sent to Stores, the add-on fee is non-refundable. Corrected re-delivery is charged again at the applicable rate.
Store acceptance, badging, territorial availability and placement are entirely outside DistriBeats' guarantee. Add-on royalties follow the applicable royalty share. Atmos masters are stored for delivery and are not streamable/downloadable from the Console.

11A. DistriBeats PayOnce (one-time distribution fee)

DistriBeats PayOnce is a no-subscription plan. The account is activated automatically at sign-up and a one-time distribution fee is invoiced per release at submission. The release remains in “Awaiting Payment” until the invoice is settled.
Human Made rates in India are INR 200 for a single (1 song), INR 180 per song for an EP (2–6 songs) and INR 150 per song for an album (7 songs or more). Outside India the rates are USD 3, USD 2.70 and USD 2.40 per song respectively.
AI Made rates in India are INR 400 for a single, INR 360 per song for an EP and INR 300 per song for an album. Outside India the rates are USD 4, USD 3.60 and USD 3.20 per song respectively. AI-generated Content may be submitted only under PayOnce AI Made or AI Pro.
Of every AI Made payment, 25% is contributed to the Artist Compensation Fund through our partners and 25% is applied to platform operating costs.
PayOnce accounts retain 90% of cleared royalties and may hold up to ten (10) artist profiles on a single account.
Releases distributed under PayOnce carry lifetime release protection with no renewal fee, and no takedown fee applies to PayOnce releases.
PayOnce fees are non-refundable once paid. Where a release is declared as human-made and verification subsequently establishes that it is AI-generated Content, the release may be rejected or removed and the fee is not refunded.

11B. Plan families and royalty shares

DistriBeats Free is the manually approved Collab Plan and pays the Artist/Label sixty percent (60%) of cleared net Store revenue.
DistriBeats Annual Subscription includes Pro at INR 999 or USD 12.99/year, AI Pro at INR 3,499 or USD 34.99/year and Label at INR 9,999 or USD 99/year, according to the customer's billing region. These plans pay one hundred percent (100%) of cleared net Store revenue.
Pro and AI Pro are for one artist and are subject to a fair usage limit of twenty-four (24) releases per annual term. AI Pro accepts AI tracks; Pro and Label do not.
DistriBeats PayOnce pays ninety percent (90%) of cleared net Store revenue and permits up to ten (10) artist profiles per account.
India checkouts, invoices and settlements are denominated in INR. Every other country uses USD. INR and USD prices are set independently and do not fluctuate with exchange rates.

12. Takedowns, suspension and termination

You may request a takedown at any time. An INR 2,000 per-song takedown fee applies to Collab and annual subscription releases; PayOnce releases have no takedown fee, subject in each case to applicable law.
After processing, takedowns generally propagate to Stores within 5–15 business days, depending on the Store.
DistriBeats may immediately suspend an account, remove Content, hold royalties or terminate the relationship for fraud, artificial streaming, infringement, unlawful content, duplicate distribution, serious policy violations, repeated Store rejection or other material breach.
Termination does not reverse royalties already validly reported, amounts already paid or fees already incurred. Later Store clawbacks or fraud adjustments may still be applied.
This Agreement is valid for thirty-six (36) months from acceptance. If you do not renew your plan within that period, your songs will be removed from Stores and this Agreement will be terminated. Upon renewal, this Agreement is renewed automatically for a further thirty-six (36) month Term.
Sections concerning ownership, warranties, indemnity, confidentiality, payment obligations, limitation of liability, dispute resolution and governing law survive termination where their nature requires.

13. Indemnity

You agree to indemnify and keep indemnified Klaslead Productions Private Limited, DistriBeats, its directors, officers, employees, contractors and delivery partners against claims, losses, damages, liabilities, reasonable legal costs, Store penalties and expenses arising from your Content, metadata, rights clearances, breach of this Agreement, infringement allegations, contributor disputes, artificial streaming, fraud or unlawful conduct.
You shall reasonably cooperate with copyright notices, takedowns, Store investigations, fraud reviews and rights claims and provide requested licences, releases or clearances within 7 days of request, or sooner where a Store or law requires.

14. Data protection, privacy and confidentiality

DistriBeats shall process personal, payout, identity, tax and account information in accordance with its Privacy Policy and applicable Indian data-protection law, including applicable provisions of the Digital Personal Data Protection Act, 2023 as and when applicable to the relevant processing.
Information may be shared with Stores, payment providers, tax partners, technical vendors, fraud-prevention providers and other service providers only as reasonably necessary for service delivery, compliance, security and administration.
Royalty statements, platform reports, commercial rates, internal information and non-public account information are confidential and shall not be republished without written consent except where required by law.
You are responsible for account security, including safeguarding credentials and using two-factor authentication where available.

15. Service changes and force majeure

DistriBeats may modify supported Stores, features, fair-use limits, plan structure, pricing, technical requirements and operational processes. Material changes will ordinarily be communicated through the Console or email before taking effect where reasonably practicable.
DistriBeats is not responsible for delay or failure caused by events beyond reasonable control, including Store outages, platform policy changes, internet/infrastructure failure, payment-provider interruption, strikes, natural events, government action, war, civil disturbance or similar force-majeure events.
Continued use after valid notice of updated terms may constitute acceptance to the extent permitted by applicable law.

16. Dispute resolution, arbitration and Kolkata jurisdiction

All disputes should first be raised with artists@distribeats.com or +91 33 3592 0141. DistriBeats aims to resolve support-level disputes within 15 working days, subject to complexity and third-party investigations.
Subject to mandatory statutory rights, any dispute arising out of or relating to this Agreement which remains unresolved shall be referred to arbitration by a sole arbitrator in accordance with the Arbitration and Conciliation Act, 1996 and amendments thereto.
The seat and venue of arbitration shall be Kolkata, West Bengal, India. The language shall be English. The parties shall cooperate in appointment of the sole arbitrator in accordance with applicable law.
Subject to the arbitration agreement and applicable law, courts having competent jurisdiction in Kolkata, West Bengal shall have exclusive jurisdiction over court proceedings arising from or connected with this Agreement, including interim relief, enforcement and proceedings permitted by law.
Nothing prevents either party from seeking urgent interim or injunctive relief from a competent court where necessary to protect intellectual property, confidential information, account security or other rights pending arbitration.

17. Governing law and liability

This Agreement shall be governed by and construed in accordance with the laws of India, without prejudice to mandatory provisions of law applicable to a particular transaction or user.
DistriBeats is a distribution service and does not control Store-side decisions, outages, removals, editorial choices, playlisting, algorithmic ranking, payment timing or platform policies.
To the maximum extent permitted by law, DistriBeats shall not be liable for indirect, incidental, special, exemplary or consequential loss, loss of profit, goodwill, anticipated revenue, playlist exposure or Store-side interruption.
To the maximum extent permitted by law, aggregate liability of DistriBeats for claims arising from this Agreement shall not exceed the fees actually paid by the claimant to DistriBeats during the 12 months preceding the event giving rise to the claim.
Nothing excludes or limits liability which cannot lawfully be excluded or limited under applicable Indian law.

18. General provisions and electronic acceptance

This Agreement, applicable plan terms, Console policies and Privacy Policy constitute the entire agreement concerning the distribution service and supersede prior informal representations on the same subject.
If any provision is invalid or unenforceable, it shall be modified to the minimum extent necessary and the remaining provisions shall continue in force.
Failure to enforce a provision immediately is not a waiver of future enforcement.
You may not assign this Agreement or transfer the account without consent except where permitted by law. DistriBeats may assign its rights and obligations to an affiliate, successor or purchaser of the relevant business.
The parties are independent contractors; nothing creates a partnership, employment relationship, agency, joint venture or fiduciary relationship.
Electronic acceptance through checkbox, account creation, subscription purchase, electronic signature or release submission constitutes acceptance of this Agreement.
The Company's name, registered office and CIN are stated in this Agreement for corporate identification.

19. Artist / label acknowledgement

By accepting this Agreement, you confirm that you have authority to enter into it; that the Content and metadata supplied are accurate; that you understand the royalty, subscription-lapse, balance-hold, takedown, duplicate-delivery, fair-use and content rules; and that all necessary rights and consents have been obtained before submission.
You acknowledge in particular that: (a) DistriBeats Free / Collab Artists receive 60% of cleared royalties; (b) DistriBeats PayOnce Artists receive 90%; (c) Annual Subscription Artists/Labels receive 100% subject to third-party deductions; (d) royalties cannot be withdrawn or displayed in the Console during a subscription lapse; (e) delivered tracks may remain live during such lapse; and (f) disputed or compliance-held balances cannot be withdrawn until the relevant hold is resolved.

20. Execution / acceptance record

Acceptance is recorded electronically inside the DistriBeats Console. Signing captures your legal name, artist/label name, IP address and the exact date and time in UTC, countersigned by Saswata Modak, Managing Director, for Klaslead Productions Private Limited.
